1. Who we are and what these terms cover
byitl (BYITL, LLC) is an engineering studio in Charlotte, North Carolina. We build AI agent systems and hardware prototypes (circuit boards, firmware and enclosures). These terms cover your use of byitl.com and any engagement you buy from us. By using the site or starting an engagement, you agree to them.
2. Engagements
- Every engagement starts with a written engagement order that states the scope, the price, the milestones and the target dates. If the order and these terms disagree, the order wins.
- AI engagements: we build the agreed automation or agent system, with written pass/fail acceptance criteria agreed before work starts and a review engine that checks them. The implementation goes into your own repository. Each engagement includes a handoff session and 30 days of fixes after delivery.
- Hardware engagements: we design a custom circuit board, write its firmware, design an enclosure around it, and deliver one assembled, working unit together with the design files: schematic, layout and fab-ready manufacturing files, firmware source code, and enclosure design files (STL, editable STEP, and cut files where used). Fabrication and assembly lead times belong to our manufacturing partners and are estimates, not commitments.
3. Payment
- Prices are fixed in the engagement order. No hourly billing.
- AI engagements: half to start and half on delivery, each through a payment link we send you. The second half is owed only if the agreed acceptance criteria pass. If they don't, you don't owe it, and you keep the work done so far.
- Hardware engagements: three milestones, each through a payment link we send you: 40% to start, 30% when you approve the design, and 30% at handoff. You may stop after any milestone and nothing further is owed. Paid milestones are non-refundable, because the design work and hardware behind them have already been committed.
4. Your files, confidentiality and ownership
- You keep all rights to the files, data, requirements and materials you send us. We use them only to do the engagement and don't share them with third parties, except the manufacturing partners and service providers we need for the work.
- We will sign your NDA, or our short mutual NDA, before you share anything.
- Ownership of what we deliver transfers to you when you have paid for it: code, review engines and documentation for AI work; circuit board, firmware and enclosure files for hardware work. If you stop a hardware engagement early, you own the deliverables of every milestone you have paid for.
- We keep the right to reuse general techniques, templates and internal tooling that aren't specific to your project.
- We don't show your work publicly, including renders, photos or code, without your written permission.
5. Your responsibilities
Our work is only as accurate as the information you give us. You are responsible for the accuracy of your requirements and materials, for reviewing deliverables before you build on them or manufacture from them, and for validating prototypes before any production use. For units you build yourself from our files, printing, fabrication and assembly outcomes depend on your equipment, materials, suppliers and settings, which are outside our control.
6. Website use and sample files
Site content (copy, renders, photos and sample files) belongs to us or our customers. Don't scrape, republish or resell it. Sample design files offered for download are free for personal evaluation and printing; commercial reuse, resale or redistribution needs our written permission.
7. Disclaimer and limitation of liability
Hardware deliverables are prototypes and are provided without warranty of fitness for production use. AI deliverables are warranted only to pass the acceptance criteria agreed in the engagement order. To the maximum extent permitted by law, byitl's total liability for any claim arising from an engagement is limited to the fees paid for that engagement, and byitl is not liable for indirect or consequential damages, including manufacturing costs incurred from files you approved.
8. Governing law
These terms are governed by the laws of the State of North Carolina, USA, and you submit to the exclusive jurisdiction of the state and federal courts in Mecklenburg County, North Carolina.
